Terms of Service
Effective date: January 21, 2026
These Terms of Service (“Terms”) govern your use of Spacely (the “Service”). By using the Service, you agree to these Terms.
1. The Service
Spacely provides tools to generate camera-movement videos from user-provided inputs (e.g., start and end frames, prompts, and settings). Outputs may vary and are not guaranteed to be error-free.
2. Accounts
You are responsible for:
- Maintaining the confidentiality of your account.
- All activity under your account.
You must provide accurate information and promptly update it if it changes.
3. User Content and License
3.1 Your content
You retain ownership of your User Content (e.g., images/frames you upload).
3.2 Permission to operate the Service
You grant Spacely a limited, worldwide, non-exclusive, royalty-free license to host, store, process, and display your User Content only as necessary to provide the Service, including generating outputs you request and preventing abuse.
3.3 Your responsibility
You represent that you have all rights needed to upload and process User Content and that it does not violate laws or third-party rights.
4. Generated Outputs
Generated videos and images (“Outputs”) are produced automatically. You are responsible for verifying Outputs before use, including for commercial use. Spacely does not guarantee Outputs will be accurate, consistent, or suitable for any particular purpose.
5. Acceptable Use
You agree not to:
- Use the Service for unlawful, harmful, or abusive purposes.
- Upload content that infringes intellectual property, privacy, or publicity rights.
- Attempt to reverse engineer, scrape, or disrupt the Service.
- Circumvent rate limits, safety systems, or access controls.
We may suspend or terminate accounts that violate these Terms.
6. Subscriptions, Credits, and Billing
Spacely sells credit packs and a Pro Monthly subscription. Credits are consumed when you generate a video; the cost of each generation is shown before you confirm it. Credits have no cash value and are not exchangeable for money.
Each generation consumes credits irrevocably and incurs a non-recoverable compute cost with our AI provider. Credits that have been spent are therefore not refundable. If a payment is later reversed — by refund or chargeback — we may remove the credits it paid for, including any that have already been spent, which can leave your balance at zero until the shortfall is settled. Free and promotional credits are never removed this way.
6.1 Purchases in the iOS app
- Payment and billing are handled by Apple under its terms.
- Subscription renewals, cancellations, and refunds follow Apple's policies.
- Prices and offerings may change as permitted by Apple.
6.2 Purchases on the website
- Card payments on spacelyapp.com are processed by Stripe. We never receive or store your full card details.
- The Pro Monthly subscription renews automatically every month until cancelled. You can cancel at any time from the Credits page, which opens the Stripe customer portal; cancellation takes effect at the end of the current billing period.
- Subscription credits are granted monthly and do not roll over — any unused subscription credits are replaced at each renewal and are lost when the subscription ends. Credits from one-off packs are permanent.
6.3 Refunds for website purchases
If a purchase fails to deliver credits, or a generation fails for reasons on our side, the credits are returned to your balance automatically — contact us if they are not.
Otherwise, you may request a refund within 14 days of purchase by emailing support@spacelyapp.com, provided the credits from that purchase are still unused. We refund the unused portion; credits already spent on generated videos are not refundable, because the generation cost has already been incurred. Approved refunds are returned to the original payment method within 10 business days, and the corresponding credits are removed from your balance.
Purchases made in the iOS app are refunded by Apple under Apple's policy — we can neither grant nor decline them. Request one at reportaproblem.apple.com.
Where you are a consumer in the EU or UK, this does not affect your statutory rights. By starting a generation you request immediate performance of the service and acknowledge that the statutory withdrawal period does not apply to credits already consumed.
7. Intellectual Property
Spacely and its trademarks, logos, and software are owned by Spacely and protected by law. You may not copy, modify, distribute, or create derivative works from the Service except as allowed by these Terms.
8. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or if required for security or legal reasons.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPACELY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPACELY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
IN ANY EVENT, SPACELY'S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID TO SPACELY FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR USD $50 IF YOU PAID NOTHING), WHICHEVER IS GREATER.
11. Governing Law and Venue
These Terms are governed by the laws of Ukraine, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the competent courts of Ukraine, unless applicable law requires otherwise.
12. Changes to Terms
We may update these Terms from time to time. Continued use of the Service after changes become effective means you accept the updated Terms.
